These Terms of Service ("Terms") govern your access to and use of the website RightasRainWater.com and any professional services provided by Right as Rain Water LLC ("we," "us," or "our"). Services

Right as Rain Water LLC provides professional consulting and water-related services as described on our website or in a separate statement of work, proposal, or service agreement. The specific scope, deliverables, timeline, and fees for any engagement will be defined in a written agreement between you and Right as Rain Water LLC prior to the start of work.

Accounts

When you create an account on our site, you are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. You agree to provide accurate and current information during registration and to update it as necessary. We reserve the right to suspend or terminate accounts that violate these Terms or that we reasonably believe are being used fraudulently.

Payment Terms

Fees for services will be outlined in your service agreement or as listed on the website at the time of purchase. All fees are due according to the schedule specified in your agreement. If no schedule is specified, payment is due upon receipt of invoice. Late payments may be subject to interest at a rate of 1.5% per month or the maximum rate permitted by law, whichever is lower.

No Refunds

All sales are final. Due to the nature of professional services and consulting, we do not offer refunds for services rendered or fees paid. If you have concerns about a deliverable, contact us at Rain@RightasRainWater.com and we will work in good faith to address the issue within the scope of the original engagement.

Intellectual Property

Unless otherwise specified in a written agreement, the following applies: all pre-existing intellectual property, frameworks, tools, and methodologies owned by Right as Rain Water LLC remain the property of Right as Rain Water LLC; deliverables created specifically for you as part of an engagement are assigned to you upon full payment; and you grant Right as Rain Water LLC the right to reference the general nature of the engagement for portfolio and marketing purposes, without disclosing confidential information, unless you opt out of this in writing.

Confidentiality

Both parties agree to keep confidential any proprietary or non-public information exchanged during an engagement. This includes business strategies, financial data, customer information, and any materials marked as confidential. This obligation survives the termination of any engagement for a period of two years.

Acceptable Use

When using our website, you agree not to: use the site for any unlawful purpose; attempt to gain unauthorized access to any part of the site, other accounts, or systems; upload or transmit viruses, malware, or any harmful code; scrape, crawl, or harvest data from the site without written permission; impersonate another person or misrepresent your affiliation with any entity; or interfere with the operation or performance of the site.

Limitation of Liability

You agree to indemnify, defend, and hold harmless Right as Rain Water LLC, its officers, employees, and contractors from any claims, damages, losses, or expenses (including reasonable attorney fees) arising out of your breach of these Terms, your misuse of the website, or your violation of any applicable law.

Termination

We may suspend or terminate your access to the website at our discretion if you violate these Terms. Either party may terminate a consulting engagement as specified in the applicable service agreement. Sections regarding intellectual property, confidentiality, limitation of liability, indemnification, and governing law survive termination.

Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of California, without regard to its conflict of laws provisions. Any disputes arising under these Terms shall first be addressed through good-faith negotiation. If unresolved within 30 days, disputes shall be resolved through binding arbitration in the county where Right as Rain Water LLC maintains its principal place of business, under the rules of the American Arbitration Association. Each party bears its own costs unless the arbitrator determines otherwise.

Changes to These Terms

We may update these Terms from time to time. Changes will be posted on this page with an updated effective date. Continued use of the website or services after changes are posted constitutes acceptance of the revised Terms.

Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall continue in full force and effect.
